These Terms of Service (“Terms”) govern your access to and use of aeliagency.com and the services provided by Qubeforce LLC (“AE-LI”, “we”, “us”). By using our website or engaging us for services, you agree to these Terms.

1. Acceptance

You must be at least 18 years old and authorized to bind your business to a contract. By submitting a form, paying an invoice, or otherwise engaging AE-LI, you accept these Terms in full.

2. Description of services

AE-LI offers the following services to small businesses:

Custom web design and development.
Search engine optimization (SEO) and Google Business Profile management.
Digital marketing campaigns (paid & organic).
AI sales agent — outbound and inbound voice and SMS automation.
Sales consulting and funnel optimization.

Specific deliverables, timelines, and pricing are described in the plan you select (Tier 01 / 02 / 03) and confirmed in your onboarding agreement.

3. Account & eligibility

You are responsible for the accuracy of the information you provide and for maintaining the security of any credentials we issue. You must notify us immediately of any unauthorized use of your account.

4. Payment, billing & renewal

One-time setup fee is invoiced when you sign up and is non-refundable once production begins.
Monthly retainer is billed in advance on the same day each month and renews automatically.
Currency is United States Dollars (USD). Applicable taxes may be added.
Late payments may incur a 1.5% monthly finance charge and may pause active services until cured.

5. Conversion Engine Warranty

Beginning in month three of an active engagement, if your AE-LI site produces zero new customers in a given calendar month, we will waive that month's retainer. This warranty applies to the retainer only — not to the one-time setup fee — and requires:

Your business has been live on our site for at least 60 days.
Our standard tracking and reporting tools are installed and operational.
You have not made unauthorized changes to the website, lead form, or call routing.
You submit the warranty claim within 14 days of month-end via email.

6. Cancellation & refunds

You may cancel the monthly retainer at any time with 30 days written notice. See our full Refund & Cancellation Policy for details.

7. Intellectual property

Upon final payment of the one-time setup fee, you own the visual design, copy, and code of your delivered website, plus the domain registered in your name. AE-LI retains ownership of our underlying tools, internal templates, proprietary automations, and the AE-LI brand and methodology. You grant AE-LI a non-exclusive license to display your delivered work in our portfolio and case studies (you may opt out in writing).

8. Acceptable use

You agree not to use our services to:

Violate any law, regulation, or third-party right.
Send unsolicited or unlawful communications, including spam.
Distribute malware, attempt to compromise our systems, or interfere with other users.
Operate businesses related to firearms, adult content, illegal substances, MLM schemes, payday lending, or other restricted categories without our prior written consent.

9. Third-party services

Our services depend on third-party providers (hosting, payment processing, telephony, AI inference, and others). We are not responsible for the availability, performance, or terms of those providers, though we will make commercially reasonable efforts to maintain service continuity.

10. Disclaimers

Our services are provided “as is” without warranties of any kind, express or implied, beyond those explicitly stated in these Terms or the Conversion Engine Warranty. We do not guarantee specific ranking positions, traffic levels, or revenue outcomes.

11. Limitation of liability

To the maximum extent permitted by law, AE-LI's total cumulative liability arising out of or related to these Terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits.

12. Governing law & disputes

These Terms are governed by the laws of the State of Wyoming without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts.

13. Changes to these Terms

We may revise these Terms periodically. Material changes will be announced by email or via a prominent notice on this site at least 14 days before they take effect. Continued use of our services after a change constitutes acceptance.
